Vendor Terms & Conditions

These Vendor Terms & Conditions (“Terms”) govern your use of the Dan Cobb Estate & Business

Liquidators online marketplace (the “Platform”). By registering as a vendor, listing items, or selling

through the Platform, you agree to these Terms.

This Vendor Agreement (“Agreement”) is entered into by and between Dan Cobb Estate &

Business Liquidators (“Company”) and the undersigned vendor (“Vendor”). This Agreement sets

forth the terms governing Vendor’s use of the Platform to list, market, and sell goods.

By clicking “I Agree”, creating a vendor account, or listing products, you acknowledge that you

have read, understood, and agree to be legally bound by these Terms.

 

  1. About the Marketplace

The Platform provides an online venue for independent vendors to sell goods directly to

customers. The Company is not the seller of Vendor items unless expressly stated. Vendor

remains responsible for products, transactions, and legal compliance.

 

  1. Vendor Accounts & Eligibility

Vendors must be at least 18 years old, provide accurate information, safeguard login credentials,

and may not transfer accounts without written consent.

 

  1. What You May and May Not Sell

Only items legal under federal, California, and local laws may be sold. Prohibited items include

illegal goods, weapons, drugs, alcohol, tobacco, hazardous materials, human remains, counterfeit

items, and content promoting hate or illegal activity.

 

  1. Listings, Accuracy & Ownership

Vendors are responsible for accurate descriptions, pricing, disclosures, and images, and

guarantee legal ownership and right to sell.

 

  1. Fees, Commission & Payout Structure

The Company charges a 10% commission on the gross item price plus a $2.00 listing fee per

completed sale. Fees are deducted prior to payout and are non-refundable unless required by law.

 

  1. Shipping, Handling & Delivery

Vendors are responsible for packaging, shipping, compliance with carrier regulations, and loss or

damage until delivery.

 

  1. Buyer Payments & Processing

The Platform may process buyer payments and deduct fees, refunds, chargebacks, and

adjustments. Vendors are responsible for chargebacks caused by misrepresentation or

non-delivery.

 

  1. Returns, Refunds & Disputes

Return policies must be disclosed. AS-IS liquidation sales are permitted when clearly stated with

accurate descriptions and photos.

 

  1. Taxes & Legal Compliance

Vendors are responsible for all applicable taxes. The Company may collect and remit taxes where

required under California law.

 

  1. Customer Data & Privacy

Customer data may only be used for fulfillment and service and must comply with privacy laws.

 

  1. Intellectual Property

Vendors retain ownership but grant the Company a license to use content for Platform operations.

 

  1. Vendor Payouts & Holds

Payouts occur monthly and may be withheld for disputes, refunds, chargebacks, or policy

violations.

 

  1. Account Suspension & Termination

The Company may suspend or terminate accounts at its discretion for violations or legal risk.

 

  1. Limitation of Liability

Liability is limited to fees paid in the prior 12 months, and Vendor waives California Civil Code

  • 1542 protections.

 

  1. Indemnification

Vendor agrees to indemnify the Company against claims arising from products, breaches, or legal

violations.

 

  1. Dispute Resolution & Arbitration

Disputes are resolved by binding arbitration in Fresno County, California, with a class action

waiver and PAGA carve-out.

 

  1. Governing Law

This Agreement is governed by California law.

 

  1. Independent Contractor Status

Vendor is an independent contractor and not an employee or agent of the Company.

 

  1. Changes to Terms

Terms may be updated, and continued use constitutes acceptance.

 

  1. Entire Agreement & Severability

This Agreement constitutes the entire agreement, and unenforceable provisions shall be severed.

 

  1. Legal Notices

Legal notices must be sent to Dan Cobb Estate & Business Liquidators, 2706 W. Ashlan Ave.,

Fresno, CA 93795.

 

  1. Force Majeure

The Company is not liable for delays caused by events beyond reasonable control.
